Terms and licence conditions

This English version is a translation for your convenience. Only the German version (Allgemeine Geschäfts- und Lizenzbedingungen) is legally binding.

1. Scope

These conditions apply to the use of software from ZQ Sound, owner Kadri Zeqiri, Rohräckerstr. 11, 74906 Bad Rappenau, Germany (“we”) — in particular X5Styleworks and ZQ Sound Center — by consumers and businesses (“you”).

2. Purchase through Paddle

Our software is sold through Paddle.com Market Ltd. Paddle.com is the Merchant of Record for all our orders: Paddle is the reseller and your contracting party for the purchase; it takes payment, issues the invoice and handles withdrawals and refunds. Paddle’s buyer terms also apply to the purchase. You receive the right to use the software from us, under these conditions. All prices include the applicable VAT.

3. Account

To use the software you need a free account in ZQ Sound Center with a valid email address. Keep your password secret. An account belongs to one person and must not be shared.

4. Trial

You can try every app free for 5 days — once per account and once per computer: another account on the same computer does not get a new trial. The trial ends by itself; it is not extended and never turns into a paid subscription. Please use it thoroughly before you buy (section 5).

During the trial, X5Styleworks saves your styles inside the app. You can export them as an .stg file for your instrument at most twice during the trial — per account and per computer, like the trial itself; exporting needs an internet connection. With a licence you've bought, there is no limit.

5. Try first, then buy — refunds

You can try every app free of charge before buying. Please use the trial to check whether it suits you and your instrument. Refunds follow Paddle’s refund policy; you can request one from Paddle at paddle.net. When you buy, you expressly agree that the licence is delivered immediately and confirm that your right of withdrawal ends as soon as the licence you bought is active on your computer (section 356 (5) of the German Civil Code, BGB); if you buy during the trial, that happens immediately. Your statutory rights in case of defects (section 11) remain unaffected.

6. Licence

With your purchase you receive a simple, perpetual right to use the app on one computer. The licence belongs to your account. When you get a new computer, you move the licence in ZQ Sound Center; you can do this yourself once every 30 days, and sooner on request.

Not permitted are: use of one licence by several people at the same time; sharing a licence or an account; renting; circumventing or modifying the licence check; decompiling the app, except where the law allows it (sections 69d and 69e of the German Copyright Act, UrhG). What you create with the app, such as your styles, belongs to you.

7. Licence check and internet

You need an internet connection to activate. The app checks your licence over the internet each time it starts; without a connection it keeps running for up to 14 days. Computers without internet access are not supported.

If we ever shut down the licence service, we will first give every buyer a version that works without the online check.

8. Updates and upgrades

We provide new versions in ZQ Sound Center. Updates within the major version you bought (for example from 1.0 to 1.5) are free. A new major version (an upgrade, for example 2.0) is a separate product and may cost extra; you can keep using the major version you bought without a time limit. There is no entitlement to new features; your statutory rights to updates (section 327f BGB) remain unaffected.

9. Licence codes

A licence code can be redeemed exactly once; the licence is then added to your account. Codes cannot be exchanged for money.

10. Instruments

X5Styleworks is intended for arranger keyboards that load styles in STG format. ZQ Sound is an independent provider and is not affiliated with any instrument manufacturer. During the trial, check whether everything works with your instrument before you buy.

11. Warranty

The statutory rights in case of defects apply; for consumers in particular the provisions on digital products (sections 327 et seq. BGB).

12. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health and under the German Product Liability Act. In cases of slight negligence we are only liable for breach of essential contractual obligations, limited to the foreseeable, typical damage. Please back up your data regularly.

13. Suspension

If you breach section 6 — for example by sharing or renting the licence, or by circumventing the licence check — we may suspend your account and licences. If a purchase is refunded or charged back, the licence ends.

14. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, the mandatory consumer protection rules of the country you live in remain unaffected. If any provision is invalid, the others remain valid.
